1. TITLE

The name of the Organisation shall be "The Circle ‘K’ Western Club" or such other name as the Officers of the association may from time to time decide with the approval of the Charity Commission.

2. OBJECTS

The objects of the Organisation shall be to promote the historic days of the American Wild West, for educational and philanthropic purposes and support the Country and Western scene not for personal profit.

3. FINANCIAL YEAR

The Organisations financial year shall be from January 1st to December 31st. inclusive.

4. OFFICERS

4.1 The officers of the Organisation shall be as follows:-

4.2 The officers shall be elected at the Annual General Meeting. They shall remain in office until the next AGM when they will be eligible for re-election.

4.3Except with the prior written approval of the Charity Commissioners no Officer may:

(1) recieve any benefit in money or in kind from the Charity; or

(2) have a financial intrest in the supply of goods or services to the Charity; or

(3) acuire or hold any intrest in property of the Charity except in order to hold it as a trustee (officer) of the Charity.

5. AUDITORS

The auditor shall be appointed by the officers of the Organisation on recommendation of the Treasurer.

6. EXECUTIVE COMMITTEE

At present, the committee will include ALL members and Officers of the Organisation. As membership increases, the need of an Executive Committee may arise. In this case the Executive Committee will comprise of the Officers and (3) three members of the Organisation, who shall be elected at the AGM and will remain in office until the following AGM when they will be eligible for re-election.

7. CASUAL VACANCIES

Casual vacancies in the Executive Committee or Officers shall be filled by resolution of the Officers of the Organisation for the remainder of the current term. If the services are still required they will be eligible for election at the AGM

8. GENERAL MEETINGS

8.1 The Annual General Meeting (AGM) of the Organisation shall be held each year on the SECOND Friday after NEW YEARS. Where consideration will be given to the Chairmans Report and the Treasurers report. After which elections will be held for Officers and Members of THE COMMITTEE.

8.2 Any member desirous of moving any resolution at the AGM shall give notice thereof in writing (duly seconded) to the Secretary not later than 15th December and such notice will be embodied in the notice convening the meeting.

8.3 A SPECIAL General Meeting of the Organisation shall be called at any time by order of the Executive/Officers of the Organisation or within 14 days of receipt by the Secretary of a requisition, in writing, signed by at least (50% (or) 10) members of the Organisation, stating fully the reasons for such a meeting. At such a meeting, ONLY the SPECIAL business for which the meeting has been called shall be discussed. TWO THIRDS of the Organisations membership forms a quorum.

8.4 (a) A minimum number of meetings to be held shall be set as six (6), Bi-monthly.

(b) The officers of the committee has the right to amend such timings as neccassary but shall be no less than two (2).

8.5 Meetings of the Officers of the committee are to be arranged 2 weeks prior to the date set and made available via memo to the Excutive committee and posters for the general membership.

8.6 The chair is to be appointed to run meetings from the following order: Chairperson, Treasurer, Secretary, Publicity.

8.7 The chair has the casting vote when the number of votes cast for and against a motion are equall.

9. FINANCE

(a) The Officers/Executive Committee shall control the whole of the finances and activities of the Organisation.

(b) The Organisation may receive donations, grants or sponsorship in aid of financial guarantees, and shall set the prices of tickets for functions such as dance nights, round ups etc.

(c) The income and property of the Organisation wheresoever derived shall be applied solely towards the objects of the Organisation as set forth in Paragraph One of the Constitution, and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or by payment of a professional fee to any member of the Organisation, except in good faith of reasonable and proper remuneration to any member of the Organisation or other person in return for services actually rendered to the Organisation.

(d) Any income over and above expenditure will be held in Trust by the Treasure in the Organisations Bank Account to be re-invested into the Organisation (OR) to provide for philanthropic causes.

(e) On winding up of the Organisation any assets remaining shall be offered to other organisations of similar aims and objectives.

(f) All monies received on account of the Organisations activities shall be paid in trust to the Treasurer within 7 Days.

(g) All accounts payable by the Organisation shall be paid by the Treasurer, and the payment shall be covered by vouchers/receipts appropriately certified.

(h) Cheques shall be signed on behalf of the Organisation by the treasurer and ONE of the following:-

(i) The accounts are to be presented to the Charity Commission annually post the AGM.

10. MEMBERSHIP

(a) Membership of the Organisation shall be open to all persons approved by the Officers/Executive Committee. Membership to the Organisation is FREE. Attendance (non attendance) fees will be agreed by the Officers/Executive Committee as deemed necessary. The Secretary shall keep a record of all members.

(b) Membership can be terminated by the Excutive committee for good and sufficient reason. The individual or organisation concerened has the right to be heard, accompanied by a friend if neccassary, before a final decission is made.

(c) Each member over the age of 18 has the right to vote at the AGM and any special meetings called.

(d) Associated/internet membership :- Associated members will have NO VOTING rights NOR HOLD OFFICE as a member of the committee but are able, subject to travelling, to join in with the club for shows, round ups and functions. Associated members are not entitled to vote on any matters within the club.

11. AMENDMENTOF THE CONSTITUTION

(1) Subject to the following provisions of this clause the constitution may be amended by a resolution passed by not less than two-thirds of the members present and voting at a general meeting. The notice of the general meeting must include notice of the resolution setting out the terms of the proposed amendment.

(2) Any amendment of the Constitution may only be made by way of notice at (a) the AGM OR (b) A Special General Meeting called for that purpose.

(3) No amendment may be made to clause 8.4 (b) minimum number of meetings, clause 4.3 Officers not to have a personal intrest, 9 (e) dissolution of the charity, without the prior written approval of the Commissioners.

(4) No amendment may be made which would have the effect of making the charity cease to be a charity at law.

12. POWERS OF THE EXCUTIVE COMMITTEE

In addition to any other powers which they have the excutive committee of Circle K Western Club may exercise the following powers in furtherance of it's objects.

(a) Powers to raise funds and to invite and recieve contributions, provided that in raising the funds the excutive committee of Circle K Western Club, shall not undertake any substancial permamant trading activities.

(b) Power to sell, lease or otherwise dispose of, all or any part of the charities property subject to compiling with the restrictions on disposal imposed by section 36 of the charities act 1993, unless disposal is excepted from these restrictions by section 36 (9)(b) or (c) or section 36 (10) of that act.

RULES OF THE CIRCLE K WESTERN CLUB

1. On any club outing, a deposit of 1/3 will be payable to the treasure which will not be refunded under any circumstances.

2. Club members will not allow any member of the general public to use their firearms, Unless during the show and then only under supervised conditions. Failure to comply with this rule will lead to a heavy fine.

3. Guns will not be fired unless during a show, practice or fast draw contests. A gun check may be called by any member at any time. The gun must be checked by two (2) members, and a 10p (per shell) fine will be imposed on any member whose weapon is found to contain live shells.

4. Any member who attends a public function or club night will be obliged to wear western dress after a period of three (3) months (probation period). A fine of 50p will be enforced for non regulation dress

5. Club subscriptions will be £1.50 per meeting. Any member absent for three consecutive meetings without notifying the committee will be assumed to have resigned.

6. A percentage of all monies collected throughout the year will be donated to a local charity or charities after expenses incurred by the club and members have been deducted. The percentage to be calculated at the A.G.M. after the treasurers report is given.

7. The committee shall have the right to remove from the register any member who by word or deed brings the club into disrepute. The member is to be informed with 14 (fourteen) days prior notice of his/her disciplinary action. To be done by ballot vote.

8. Membership fee is :- FREE on joining the club. (Lifetime)

9. All prospective members will serve a probationary period of Three (3) months.

10. Associated/internet membership :- Associated members will have NO VOTING rights NOR HOLD OFFICE as a member of the committee but are able subject to travelling able to join in with the club for shows, round ups and functions. Associated members are not entitled to vote on any matters within the club.

11. NO gun fire on club nights after 9:00pm curfew.

12. Associated members :-Will not be subsidised on club roundups and functions.

13. The Executive committee have the right to amend/add any rules as they see fit, but not as such to hindrance the operation of the club as a whole.
